Bargaining and the Ultimatum Game
Run a behavioural-economics lab on yourselves, derive the Rubinstein alternating-offers equilibrium, and design Aldebran's counter-offer to a 15%…
The learner has an idea for construction software in Bilbao (a no-code prototype, 14 small contractors in a free pilot, 3 paying, EUR 40,000 of savings) and a fictional seed fund that will only invest once there is a technical cofounder, and must choose who to found with and how to structure the partnership.
Decision 1, January 2027: what to look for (someone like you, a written profile of the missing skills, commitment and values, or the most brilliant CV), where to search (the three names you already have, a headhunter or a broad search with 25 conversations) and how to test before signing (two coffees, references only, or a paid six-week trial project with pilot customers).
Decision 2: who (a friend in sales who can start now, an experienced ex-CTO who wants to be chief executive and half the company, or an engineer with the missing skills who is part time until June), how to split the equity (50/50 without discussing it, 60/40 after a written conversation about contributions, or a dynamic split) and vesting (none, the cofounder only, or four years with a one-year cliff for both with leaver terms).
Decision 3, at the notary: roles and decision rights (co-chief executives by consensus, written roles by area with a tie-break, or the larger owner decides), time and pay (no date, a market salary paid by the founder, or a written full-time date with equal modest salaries) and intellectual property (left in each founder name, an internet template, or a full assignment to the company and a pacto de socios).
Decision 4, November 2027: the cofounder has an outside offer and a seed term sheet arrives subject to due diligence - keep them by giving equity, a structured conversation under the pact, or let them leave with all their shares; the option pool (none, two unvested grants, or a 10% pool with vesting); and the due diligence (show the papers as they are, backdate the missing documents, or clean up with real dates).
The model is deterministic: what the search and the test reveal reduce hidden conflict and commitment risk; a hazard sets the chance the cofounder leaves before the round; vesting, its enforceability and the leaver answer set the dead equity; the quality of the pair sets company value and the seed valuation; clean title and dead equity set the chance the seed closes.
The score combines the quality of each decision with the expected value of the founder stake, the chance the team stays intact, dead equity and seed closing, and is capped when documents are backdated for the due diligence. Spanish (primary, Spain) and English.
